Mergers,
Acquisitions and Company Integrations The firm offers legal advice to buyers, sellers and financial advisors in all aspects related with mergers and acquisitions of public or private companies in the industrial, commercial or financial sectors of the economy. This advice is also extended to all filings and procedures required to carry out a public offering in the stock market, when deemed necessary, to formalize the respective merger or acquisition process.
Privatizations
Muñoz Tamayo & Asociados advises its clients on the acquisition and transfer of assets of the public sector. Since its foundation, the firm has advised the National Government in the most important privatization processes that ever took place in Colombia, which consisted among others, in the transfer to private investors of a substantial part of the power generation assets belonging to the Republic of Colombia, and the transfer of assets, rights and agreements related to the State’s public transportation of natural gas.
The broad experience of the partners of the firm in the financial and banking sectors enables Muñoz Tamayo & Asociados to offer advice on all aspects regarding the incorporation and operation of financial or banking establishments in Colombia, and in particular, the establishment of representation offices of foreign banks; the incorporation of different types of financial entities, the respective permits and licenses required for their operation; the obtention of governmental permissions for the participation of foreign investors within the capital of financial institutions; the study and preparation of the legal and operative documentation for the appropriate operation of the respective financial intermediary.

Both the firm and its partners have actively participated in project finance ventures in the sectors of electric power, telecommunications, mining and oil, pipelines, road concessions and water treatment.
The firm has acted as counsel for national and foreign clients in the structuring of credit operations and granting external credit loans on behalf of national or foreign money lenders to local borrowers.
Capital Markets
Muñoz Tamayo & Asociados advises issuers, administrators, underwriters and brokers on capital markets transactions that involve either debt or equity placements in the local or international markets.
The firm and its partners have participated in transactions that involve companies in the public and private sector, as well as in the structuring of private and public offers through the capital markets for their placement.
Public Utilities
The firm renders its services on this area, which was opened by the Colombian Government to private investors in 1994. The firm has been particularly involved in the electricity, gas, telecommunications and water sectors.
