Muñoz Tamayo & Asociados is a growing and dynamic law firm based in Bogotá, Colombia. Established in 1990, it specializes in general business law with an emphasis on international matters. We are particularly active in the fields of domestic and international commercial, financial and corporate law, commercial and investment banking, foreign and domestic investment, taxation, mining and oil, trade matters, international financing, securities, public utility services and government contracting.

Muñoz Tamayo & Asociados has developed substantial experience in advising foreign companies on how to enter and do business in Colombia.

The firm has been particularly active in the last years in the area of mergers and acquisitions and privatizations. As counsel to leading international and domestic investment banks, it has been involved in a significant number of transactions of this nature. It has represented clients on different sides of such deals, including purchasers, sellers, investors and financial advisors in transactions related with the sale of state-owned assets and participations in the financial and energy sectors. In this field of our practice, as in many others, we have created innovative and original schemes for our clients.

In recent years, the country’s economic circumstances have created different situations and, in this new scenario, the firm has significantly positioned itself in the topic of liquidations and business restructurings.

Another field of practice where the firm has developed substantial experience is that of international financial law. We consider ourselves particularly strong in the negotiation and arranging of international loan agreements and structured financing with the government, governmental agencies and private enterprises, as well as with Colombian banks and financial institutions.

Muñoz Tamayo & Asociados has also managed to position itself in the forefront of the public utility services practice in Colombia, which was only opened to private initiative and enterprise in mid-1994. During this period, the firm has assisted several clients seeking to develop projects in the electric and gas energy, hydrocarbons, telecommunications and water supply sectors.

In the general corporate area, the firm assists its clients in the drafting of certificates of incorporation and by-laws for all kinds of Colombian and Andean Group companies; in the processing of necessary powers of attorney; in the legalization and registration with the Chamber of Commerce; in the amendments of by-laws; the requests of issuance of tax registration in the system (RUT) and tax identification number (NIT) before the National Customs and Taxes Office and, in general, providing legal advice for obtaining all permits and complying with the legal regulations, as required by corporate purposes.

The firm also offers wide experience in the negotiation of commercial, civil and administrative contracts. Our advice reflects the realities of Colombian business life, and attempts to provide a general view on how to meet the client's needs. Advice on contracts therefore includes negotiation, signature and subsequent management of contracts. Processing will include such requirements as authentications and legalizations, registration with the various authorities, payment of stamp duties and publication in the Official Gazette.

In the area of banking law, Muñoz Tamayo & Asociados offers to help establish representation offices for financial concerns; investments in Colombian banks; study and negotiation of all kinds of banking contracts; syndication in government or private-sector loans for the account of the lenders; and of all procedures required for these activities involving the Ministry of Public Finance, the Exchange Office of the Central Bank, the Banking Superintendence, and other financial institution regulation or surveillance and control entities.

Furthermore, Muñoz Tamayo & Asociados has specialists in insurance matters, who can offer advice to both individuals and legal entities in all types of claims. It can also undertake legal proceedings related to insurance activity, whether before ordinary, administrative or arbitral courts.

In relation with foreign investment, the firm offers to provide all the necessary legal information required prior to the making of a foreign investment in Colombia, including but not limited to the registration and filing at the Exchange Office of the Central Bank and the study, production and filing of the application for the initial permit from the National Planning Department, the Ministry of Mines and Energy or the Banking Superintendence, when required.
